FitConcierge Instructor Agreement

This Agreement is entered into between FitConcierge (“Company”) and the undersigned fitness or wellness professional (“Instructor”). By working with FitConcierge, Instructor agrees to the following terms.

1. Independent Contractor Status

Instructor is engaged as an independent contractor, not an employee of FitConcierge.

Instructor is responsible for:

  • Their own taxes, licenses, and certifications
  • Maintaining any applicable insurance (see Section 9 for guidance)
  • Conducting services in a professional and lawful manner

Nothing in this Agreement shall be construed as creating an employer-employee relationship.

2. Services Provided

Instructor agrees to:

  • Deliver high-quality fitness and/or wellness services (e.g., yoga, Pilates, breathwork, sound healing, etc.)
  • Arrive on time and prepared for all scheduled sessions
  • Conduct sessions in a safe, professional, and respectful manner
  • Adapt services appropriately to client needs and environments (corporate, events, private homes, etc.)

3. Scheduling & Availability

  • Sessions will be offered to Instructor based on availability and fit.
  • Instructor is not guaranteed any minimum number of sessions.
  • Once a session is accepted, Instructor is expected to honor the commitment.

4. Cancellations

  • Instructor must provide at least 24 hours’ notice if unable to fulfill a scheduled session.
  • Last-minute cancellations or no-shows may result in removal from future opportunities.

5. Compensation

  • Compensation will be agreed upon per session, event, or engagement.
  • Payments will be issued according to FitConcierge’s payment schedule.
  • Instructor is responsible for reporting all income for tax purposes.

6. Professional Standards

Instructor agrees to:

  • Maintain a high level of professionalism and presentation
  • Communicate clearly and respectfully with clients
  • Avoid any behavior that could harm the FitConcierge brand or client relationships
  • Refrain from solicitation of clients for independent services outside of FitConcierge (see Non-Solicitation below)

7. Non-Solicitation

Instructor agrees not to:

  • Directly or indirectly solicit, contact, or accept business from FitConcierge clients outside of the platform
  • Use FitConcierge relationships to build independent client relationships

This applies during engagement with FitConcierge and for 12 months following the last booked session.

8. Confidentiality Agreement

Instructor agrees to keep all client and company information strictly confidential, including but not limited to:

  • Client names, contact information, and locations
  • Corporate clients, event details, and internal operations
  • Pricing, business strategies, and vendor relationships

Instructor may not disclose, share, or use this information for any purpose outside of services provided through FitConcierge. This obligation remains in effect indefinitely, even after termination of this Agreement.

9. Liability, Insurance & Assumption of Risk

Instructor acknowledges:

  • They are responsible for conducting services safely and within their scope of training
  • They assume all risks associated with providing services
  • FitConcierge is not liable for injuries, damages, or claims arising from Instructor’s services

Insurance Recommendation: While not required, FitConcierge strongly encourages all Instructors to carry professional liability insurance (also known as errors & omissions insurance) and general liability insurance before providing services. Many instructors obtain coverage through organizations such as the Yoga Alliance, ACE, or independent providers. Coverage typically costs $150-$300 per year and protects both the Instructor and their clients. If you have questions about obtaining coverage, please reach out before your first session.

10. Equipment & Setup

  • Instructor may be required to bring necessary equipment unless otherwise specified.
  • Instructor is responsible for ensuring all equipment is safe and appropriate for use.

11. Photo & Video Release

Instructor grants FitConcierge permission to use photos or videos taken during sessions for marketing and promotional purposes, unless otherwise requested in writing.

12. Termination

FitConcierge reserves the right to terminate this Agreement at any time, with or without cause, including but not limited to:

  • Unprofessional conduct
  • Client complaints
  • Breach of this Agreement

Instructor may also discontinue participation at any time.
